Terms of Service

These Terms of Service (“Terms”) govern your use of annagautomations.com and any services provided by AnnaG Automations (“AnnaG Automations,” “we,” “us,” or “our”).

By using this website, submitting an inquiry, booking an appointment, accepting a proposal, or purchasing our services, you agree to these Terms. A signed proposal, service agreement, statement of work, or contract may contain additional terms. If there is a conflict, the signed agreement will control for that project.

1. Services

AnnaG Automations provides services that may include:

  • CRM strategy, setup, cleanup, and support
  • Workflow and business-process automation
  • Funnels, landing pages, forms, surveys, and calendars
  • Email and SMS sequences
  • AI voice and chat agents
  • Lead nurturing and appointment systems
  • Integrations, reporting, training, and consulting

The exact scope, deliverables, schedule, and price for a project will be stated in the applicable proposal, package description, invoice, or service agreement.

2. Website Information and Free System Audit

Website content is provided for general information. A free system audit is an initial assessment and does not create a client relationship or guarantee that a project will be accepted.

Recommendations made during an audit are based on the information available at that time. A detailed technical review may identify additional requirements, limitations, or costs.

3. Proposals and Project Approval

A proposal is valid for the period stated in the proposal. If no validity period is listed, it is valid for 14 calendar days from the date issued.

A project is confirmed only after the required agreement has been accepted and the required initial payment has been received.

4. Payment Terms

Unless a different arrangement is stated in writing:

  • A non-refundable 50% deposit is required before work begins.
  • The remaining 50% is due before final handover, transfer, publication, or launch.
  • Monthly retainers are billed in advance.
  • Work may be paused when an invoice is overdue.
  • Final files, credentials, documentation, and ownership rights may be withheld until full payment is received.

Fees do not include taxes, platform subscriptions, domains, phone numbers, email services, SMS, calls, WhatsApp, AI usage, payment-processing fees, or other third-party charges unless expressly stated.

5. Project Timelines

Estimated project timelines begin after we receive the required deposit, completed onboarding information, content, credentials, approvals, and access.

Timelines are estimates unless expressly guaranteed in a signed agreement. Delays caused by missing information, late feedback, third-party services, platform reviews, technical restrictions, or requested scope changes may extend the delivery date.

6. Client Responsibilities

You agree to:

  • Provide accurate and complete information
  • Provide required content, branding, credentials, and system access promptly
  • Review deliverables and provide clear feedback on time
  • Maintain lawful permission to use all data, content, contact lists, and materials supplied to us
  • Obtain all legally required marketing, recording, calling, email, and SMS consents
  • Protect account credentials and remove our access when it is no longer required
  • Review and approve automations before live use

You are responsible for the accuracy and legality of your offers, claims, messages, lists, customer data, and business practices.

7. Revisions and Scope Changes

Revisions are limited to those included in the selected package or written agreement.

New pages, workflows, integrations, campaigns, features, major design changes, migrations, custom APIs, or requests outside the agreed scope may require a separate quotation, additional fee, and revised timeline.

8. Third-Party Platforms

Our services may rely on third-party platforms such as CRM providers, hosting services, domain registrars, phone and messaging providers, email services, automation tools, payment processors, and AI providers.

We do not control third-party pricing, policies, availability, approval decisions, security, data retention, feature changes, outages, account suspensions, or service limitations.

You are responsible for maintaining your third-party subscriptions and complying with their terms. We are not responsible for a failure caused by an unpaid, restricted, suspended, changed, or discontinued third-party service.

9. Email, SMS, Calling, and AI Compliance

You are responsible for ensuring that all communications sent through systems we build comply with the laws and regulations applicable to your business, audience, industry, and location.

This includes obtaining required consent for marketing messages, automated calls, call recording, artificial or prerecorded voices, email, SMS, and data processing.

We may refuse or suspend work that appears deceptive, unlawful, abusive, or inconsistent with a platform’s acceptable-use policies.

10. Testing, Approval, and Launch

We test systems based on the agreed scope and the information provided by the client. Before launch, you are responsible for reviewing and approving the system, content, routing, recipients, pricing, calculations, and customer experience.

Automated systems can be affected by user input, platform changes, integrations, internet availability, AI behavior, and third-party outages. Ongoing monitoring and maintenance may require a separate support plan.

11. No Guaranteed Results

We do not guarantee a specific number of leads, appointments, sales, conversions, revenue, cost savings, rankings, response rates, or other business results.

Results depend on factors outside our control, including your offer, audience, traffic, advertising, sales process, pricing, team performance, data quality, market conditions, and use of the completed system.

12. Intellectual Property

You retain ownership of materials you provide to us.

After full payment, you receive the rights to the final custom deliverables created specifically for your project, subject to any third-party licenses and the terms of the applicable agreement.

AnnaG Automations retains ownership of pre-existing materials, general methods, reusable systems, templates, frameworks, know-how, processes, and tools used to perform the services.

Third-party software, fonts, images, integrations, plugins, and platforms remain subject to their respective licenses.

13. Portfolio Use

Unless prohibited in writing, we may identify your business as a client and display non-confidential portions of completed work in our portfolio, website, proposals, and professional profiles.

We will not intentionally disclose private credentials, customer lists, confidential business information, or sensitive data in portfolio materials.

14. Confidentiality

Each party agrees to use reasonable care to protect confidential information received from the other party and to use it only for the project or service relationship.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

15. Cancellations, Termination, and Refunds

The initial 50% deposit is non-refundable because it reserves project time and covers discovery, planning, preparation, and initial work.

If you cancel after work has started, you remain responsible for completed work, committed costs, and approved expenses. Payments for completed work and used retainer periods are non-refundable.

Either party may terminate a service relationship as permitted by the applicable agreement. We may suspend or terminate services for non-payment, abusive conduct, unlawful activity, repeated failure to provide required information, or material breach of these Terms.

16. Warranties and Disclaimers

Services are provided with reasonable skill and care. Except as expressly stated in a signed agreement, the website and services are provided “as is” and “as available.”

To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, uninterrupted availability, and compatibility with future third-party changes.

17. Limitation of Liability

To the extent permitted by law, AnnaG Automations will not be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, lost revenue, lost opportunities, loss of data, or business interruption.

Our total liability relating to a claim will not exceed the amount you paid to AnnaG Automations for the specific service giving rise to that claim during the six months preceding the event.

Nothing in these Terms excludes liability that cannot lawfully be limited or excluded.

18. Indemnification

To the extent permitted by law, you agree to defend and hold AnnaG Automations harmless from third-party claims arising from materials, data, instructions, campaigns, products, services, or unlawful activities supplied, approved, or operated by you.

19. Privacy

Our collection and use of personal information are described in our Privacy Policy.

20. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.

Before filing a formal claim, both parties agree to attempt to resolve the dispute through good-faith written communication. Any dispute that cannot be resolved informally will be handled by the appropriate courts in the Philippines, unless a signed agreement states otherwise.

21. Changes to These Terms

We may update these Terms when our services, policies, or legal obligations change. The current version will be posted on this page with an updated “Last Updated” date.

Continued use of the website after an update means you accept the revised Terms. Material changes affecting an active signed project will not replace the terms of that agreement unless both parties agree in writing.
